Terms of Service

These Terms of Service ("Terms") govern your access to and use of Hot Talk LLC's ("Hot Talk," "we," "us," or "our") website, mobile application, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Eligibility and Account Registration

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

To access certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

You may not create multiple accounts or share your account with others. We reserve the right to suspend or terminate accounts that violate these Terms.

2. Description of Service

Hot Talk is a platform that allows users to create, share, and trade opinions as digital assets. The Service includes:

  • Creating and publishing opinions
  • Trading opinions (buying, selling, shorting)
  • Creating and trading bundles of opinions
  • Placing bets on opinion price movements
  • Viewing trading activity and market data

Hot Talk reserves the right to modify, suspend, or discontinue any aspect of the Service at any time without notice.

3. Virtual Currency and Trading

The Service uses virtual currency ("Tokens") that has no real-world value and cannot be exchanged for cash or other real-world currency. Tokens are provided solely for use within the Service and have no value outside the platform.

When trading opinions on Hot Talk:

  • All trades are final and cannot be reversed except as required by law
  • Opinion prices are determined by market activity and algorithm
  • You are solely responsible for your trading decisions
  • Hot Talk is not a financial advisor and does not provide investment advice
  • Past performance does not guarantee future results
  • You may lose Tokens through trading activities

Hot Talk is not responsible for any losses, whether real or virtual, incurred through trading activities on the platform.

4. User Content and Intellectual Property

You retain ownership of any content you create and post on the Service ("User Content"). By posting User Content, you grant Hot Talk a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with the Service.

You represent and warrant that:

  • You own or have the right to post the User Content
  • Your User Content does not violate any third-party rights
  • Your User Content complies with all applicable laws
  • Your User Content is not defamatory, obscene, or otherwise harmful

Hot Talk reserves the right to remove any User Content that violates these Terms or is otherwise objectionable, in our sole discretion.

5. Prohibited Activities

You agree not to:

  • Post illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content
  • Manipulate opinion prices through coordinated trading, market manipulation, or fraudulent activity
  • Create multiple accounts to circumvent platform limits or restrictions
  • Use automated systems, bots, or scripts to trade without explicit authorization
  • Interfere with or disrupt the Service or servers connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service for any illegal purpose or in violation of any laws
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Collect or harvest information about other users without their consent

6. Fees and Payments

Creating opinions is free. When you sell opinions, Hot Talk charges a transaction fee (currently 5% of the sale price). This fee may be modified at any time with notice to users.

All fees are non-refundable except as required by law. Hot Talk reserves the right to change its fee structure at any time.

7. Termination

You may terminate your account at any time by contacting us or using account deletion features in the Service.

Hot Talk may suspend or terminate your account immediately, without prior notice, if you violate these Terms or engage in any fraudulent, abusive, or illegal activity. Upon termination:

  • Your right to access and use the Service will immediately cease
  • All Tokens and virtual assets associated with your account may be forfeited
  • We may delete your account and associated data

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Hot Talk does not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Defects will be corrected
  • The Service is free of viruses or other harmful components
  • The results obtained from using the Service will be accurate or reliable

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOT TALK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service
  • Any conduct or content of third parties on the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service

IN NO EVENT SHALL HOT TALK'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO HOT TALK IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Hot Talk and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

11. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

You agree to waive any right to a jury trial and to participate in a class action lawsuit.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions.

13. Changes to Terms

Hot Talk reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last Updated" date.

Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.
